1. PROVIDER / ÉDITEUR

The Service is offered exclusively to professional restaurant / hospitality operators.
Le Service est strictement réservé aux professionnels de la restauration / hôtellerie.

2. DEFINITIONS / DÉFINITIONS

Definitions apply equally in English and French.

  • Account / Compte: Administrative interface assigned to Client.
  • Client / Restaurateur: Professional entity operating a hospitality business.
  • Booking Data / Données de réservation: Data generated through reservations.
  • Client Data / Données Client: Data configured or uploaded by Client.
  • No-Show: Failure of a guest to attend a confirmed reservation.
  • Service: Forkcast reservation & availability management platform.
  • Personal Data / Données personnelles: As defined by GDPR (EU) 2016/679.
  • Beta Feature / Fonction bêta: Any alpha/beta/preview functionality.

3. AGREEMENT HIERARCHY / HIÉRARCHIE CONTRACTUELLE

In case of conflict, the following order applies:

  1. Order Form (if any)
  2. Data Processing Agreement (DPA)
  3. These Terms
  4. Documentation

4. SERVICE DESCRIPTION / DESCRIPTION DU SERVICE

The Service allows Clients to configure availability, manage reservations, define cancellation and no-show policies, and access operational data.

Forkcast may modify or improve the Service provided core functionality is not materially degraded.

Forkcast fournit un logiciel de gestion des réservations et peut le faire évoluer sans en altérer substantiellement les fonctionnalités principales.

5. ROLE OF FORKCAST / RÔLE DE FORKCAST

Forkcast acts exclusively as a technical SaaS provider.

Forkcast:

  • does not operate any restaurant;
  • is not a party to the contract between Client and diners;
  • does not provide food or hospitality services;
  • does not collect or hold customer funds.

Forkcast agit exclusivement en tant que prestataire technique et n’est pas partie au contrat de restauration.

6. ACCOUNT RESPONSIBILITIES / COMPTE & ACCÈS

Client is solely responsible for:

  • accuracy of registration data;
  • credential security;
  • access granted to authorized Users only;
  • notifying Forkcast of any suspected security incident.

7. FREE TRIAL / ESSAI GRATUIT

Free access continues until paid Subscription Plans are launched.
Beta and Free Trial features are provided “AS IS”.

8. NO-SHOW & CANCELLATION POLICY / POLITIQUE NO-SHOW

8.1 Client Responsibility / Responsabilité du Restaurateur

Client exclusively defines:

  • no-show policy;
  • cancellation deadline (minimum 24 hours);
  • guarantee amount (maximum 50 € per reservation).

Client warrants that such policies are lawful, proportionate, and clearly displayed to guests.

8.2 Payment & Stripe Connect / Paiement

All guarantees, deposits, or no-show fees:

  • are processed directly on the Client’s own payment account (e.g. Stripe);
  • are received exclusively by the Client.

Forkcast never collects or holds such funds.

8.3 Failed Charges / Échec de débit

In case of failed charge (bank refusal, insufficient funds, SCA, expired card):

  • Forkcast bears no liability;
  • the Client remains solely responsible for recovery;
  • Forkcast has no obligation to pursue payment.

9. DATA & COMMUNICATION MANDATE / DONNÉES & PREUVE

Client authorizes Forkcast to:

  • store technical logs (timestamps, confirmations, IP);
  • transmit such evidence to Client in case of dispute.

10. DATA PROTECTION / DONNÉES PERSONNELLES

Client acts as Data Controller.
Forkcast acts as Data Processor.

A separate DPA applies upon request or Subscription Launch.

Client is responsible for:

  • privacy notices to diners;
  • lawful basis and consent management.

11. INTELLECTUAL PROPERTY / PROPRIÉTÉ INTELLECTUELLE

Forkcast retains all IP rights in the Platform.
Client retains all rights in Client Data and Booking Data.

12. INDEMNIFICATION / INDEMNISATION

Client shall indemnify and hold harmless Forkcast against any claim, dispute, penalty, or liability arising from:

  • no-show or cancellation policies;
  • payment disputes or chargebacks;
  • breach of law or these Terms.

13. WARRANTIES & DISCLAIMER / GARANTIES

The Service (including Beta and Free Trial) is provided “AS IS”, without implied warranties.

14. LIMITATION OF LIABILITY

14.1 Exclusion of Indirect Damages

To the maximum extent permitted by applicable law, Forkcast shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of business, loss of data, or loss of goodwill, arising out of or in connection with the Service, whether based on contract, tort, or any other legal theory, even if advised of the possibility of such damages.

Dans la limite maximale autorisée par la loi applicable, Forkcast ne saurait être tenue responsable des dommages indirects, consécutifs, immatériels ou spéciaux, incluant notamment toute perte de chiffre d’affaires, de bénéfices, de données, de clientèle ou d’image, résultant de l’utilisation du Service, et ce quel que soit le fondement juridique invoqué.

14.2 Liability Cap – Free Trial

14.2 Plafond de responsabilité – Essai gratuit

Forkcast shall bear no financial liability during the Free Trial period.

To the maximum extent permitted by applicable law, Forkcast’s total aggregate liability arising out of or relating to the Free Trial, the Service, or these Terms shall be strictly limited to zero euros (€0), excluding only liabilities that cannot be excluded or limited under applicable law, including in cases of gross negligence or willful misconduct.

Forkcast n’assume aucune responsabilité financière pendant la période d’essai gratuit.

Dans la limite maximale autorisée par la loi applicable, la responsabilité totale et cumulée de Forkcast, au titre de la période d’essai gratuit, du Service ou des présentes CGU, est strictement limitée à zéro euro (0 €), à l’exclusion uniquement des responsabilités qui ne peuvent être légalement exclues ou limitées, notamment en cas de faute lourde ou dolosive.

14.3 Liability Cap – Paid Subscription

Following the launch of paid Subscription Plans, Forkcast’s total aggregate liability arising out of or relating to the Service or these Terms shall be limited to the total fees actually paid by Client to Forkcast during the twelve (12) months preceding the event giving rise to the claim.

Après le lancement des abonnements payants, la responsabilité totale et cumulée de Forkcast, au titre du Service ou des présentes CGU, est limitée au montant total des sommes effectivement versées par le Client à Forkcast au cours des douze (12) derniers mois précédant le fait générateur du dommage.

14.4 Non-Excludable Liability

Nothing in these Terms shall exclude or limit liability to the extent such exclusion or limitation is prohibited by applicable law, including liability for death or personal injury, or any liability that cannot be lawfully excluded.

Aucune stipulation des présentes CGU n’a pour effet d’exclure ou de limiter une responsabilité dans les cas où une telle exclusion ou limitation serait interdite par la loi applicable, notamment en cas de décès, de dommages corporels ou de responsabilités légalement incompressibles.

15. TERM & TERMINATION / DURÉE & RÉSILIATION

Either party may terminate:

  • during Free Trial: immediately;
  • after paid launch: with 30 days’ notice.

16. FORCE MAJEURE

No liability for events beyond reasonable control.

17. GOVERNING LAW & JURISDICTION

DROIT APPLICABLE & JURIDICTION

French law applies.
Exclusive jurisdiction: Commercial Court of Paris.

English version controls.
